Terms and Conditions

These Terms and Conditions ("Terms") govern your use of the VestID LLC mobile application (the "App") and website portal (the "Portal"). By accessing or using our App or Portal, you agree to be bound by these Terms. If you do not agree, please refrain from using our services.

1. Acceptance of Terms

By using the App and Portal, you acknowledge that you have read, understood, and agreed to these Terms, as well as our Privacy Policy.

2. Services Provided

VestID LLC provides a platform that enables users to scan NFC tags via the App, transmitting associated data to a backend application. This backend system associates NFC tag ownership with the registered user. The App collects user information to facilitate this functionality.

3. User Accounts and Responsibilities

• Users may be required to create an account to access certain features.
• Users are responsible for maintaining the confidentiality of their login credentials.
• Users must provide accurate and complete information during registration and keep their account details updated.
• Users must be at least 18 years old to use the App.

4. NFC Tag Ownership and Usage

• NFC tags are permanently affixed to objects such as sports clothing, wine bottles, documents, collectibles, and other authenticated items to verify authenticity.
• Users must have legal rights to associate an NFC tag with their account.
• Any attempt to tamper with, copy, clone, or misuse an NFC tag is strictly prohibited and constitutes a violation of these Terms.
• VestID LLC is not responsible for any disputes related to NFC tag ownership.

5. Data Collection and Privacy

• The App collects personal information, including but not limited to, names, contact details, and device information to provide the service.
• Our data collection practices are detailed in our Privacy Policy, which forms part of these Terms.
• By using the App, users consent to the collection and use of their data as described in the Privacy Policy.

6. Prohibited Activities

Users must not:

• Use the App for illegal or unauthorized purposes.
• Misrepresent their identity or ownership of an NFC tag.
• Attempt to hack, reverse-engineer, or otherwise interfere with the App or Portal.
• Violate any applicable laws or regulations.

7. Intellectual Property

• VestID LLC retains all rights to its trademarks, logos, content, and software.
• Users may not copy, distribute, or modify any part of the App or Portal without prior written permission.

8. Limitation of Liability

• VestID LLC provides its services "as is" without warranties of any kind.
• We are not liable for any direct, indirect, incidental, or consequential damages arising from the use of the App or Portal.
• We do not guarantee uninterrupted or error-free service.

9. Apple-Specific Terms

If the App is used on an Apple device, users agree to the following terms required by Apple:

• Apple is not responsible for the App or its content.
• Apple has no obligation to provide maintenance or support services.
• Apple is not liable for claims related to the App, including product liability or legal compliance.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them accordingly.
• Users must comply with Apple's App Store Guidelines and any applicable third-party terms.

10. Android-Specific Terms

If the App is used on an Android device through Google Play, users agree to the following terms required by Google:

• Google is not responsible for the App or its content.
• Google has no obligation to provide maintenance or support services.
• Google is not liable for claims related to the App, including product liability or legal compliance.
• Google and its subsidiaries are third-party beneficiaries of these Terms and may enforce them accordingly.
• Users must comply with Google Play Store policies and any applicable third-party terms.

11. Pre-Release Testing and Non-Disclosure Agreement (NDA)

If using a pre-released version of the App for testing purposes, users agree to the following NDA:

• The pre-release App, its features, and related materials are confidential and proprietary to VestID LLC.
• Users may not share, distribute, or disclose any information about the pre-release App without written consent from VestID LLC.
• Screenshots, videos, or public discussions about the pre-release App are prohibited.
• The pre-release App is provided for testing purposes only and may contain bugs or incomplete features.
• VestID LLC reserves the right to revoke access to the pre-release App at any time.
• Any feedback provided by users becomes the property of VestID LLC and may be used for development purposes without compensation.

12. Jurisdiction and Regional Compliance

• The App is distributed globally.
• By using the App, users agree to comply with all applicable laws and regulations in their country of residence.
• Any disputes arising from these Terms will be governed by the laws of the jurisdiction in which VestID LLC operates, unless otherwise required by local regulations.
• Users are subject to relevant data protection laws, including but not limited to LGPD (Brazil), Ley Federal de Protección de Datos Personales en Posesión de los Particulares (Mexico), GDPR (EU), and other global privacy regulations.

13. Termination of Services

• VestID LLC may suspend or terminate an account if a user violates these Terms.
• Users may delete their accounts at any time; however, certain data may be retained as required by law.

14. Changes to Terms

• VestID LLC reserves the right to modify these Terms at any time.
• Users will be notified of significant changes.
• Continued use of the App or Portal after changes take effect constitutes acceptance of the revised Terms.
